Plain Language Summary: What This Document Covers

This Disclaimer is extremely important because you are participating in a Pilot Programme (beta testing) of our AI cash forecasting tool. We are still actively developing and refining the Platform and its underlying AI models. This means the service is provided "AS IS" and may contain bugs, errors, or service interruptions. Crucially, the Platform is not a regulated financial service, and the forecasts are not financial or investment advice. You are solely responsible for the accuracy of the data you upload and for all financial decisions you make. We assume minimal liability, especially for the accuracy of the forecasts, which are based only on the data you provide. By using the Platform during the Pilot Programme, you accept these heightened risks and limitations.

1. DEFINITIONS

In this Disclaimer, the following terms shall have the meanings ascribed below. Capitalized terms not defined herein shall have the meaning given to them in the Terms of Use or the Service Agreement.

2. PILOT/BETA STATUS DISCLAIMERS (HEIGHTENED RISK)

2.1. Nature of the Pilot Programme

2.1.1. The Platform is currently in a Pilot Programme (Beta Version) and is not a final, commercially launched product. It is provided primarily for the purposes of testing, gathering feedback, and refinement.

2.1.2. Access is strictly limited, invitation-only, and subject to selection criteria.

2.1.3. No Guarantee of Availability or Continuation: The Company provides no guarantee that the Platform or any of its features will be offered commercially, or that the service will continue beyond the defined Pilot Programme termination dates. The Platform may be discontinued at any time with minimal notice.

2.1.4. Features Under Development: Features, functionalities, and the user interface are under active development and are subject to change, modification, addition, or removal without prior notice.

2.1.5. Potential for Errors and Interruptions: The Platform may contain bugs, defects, security vulnerabilities, errors, or incomplete functionality. The Company does not warrant that the Platform will operate without interruption or error-free. The risk of service interruption, downtime, or data loss is higher during the Pilot Programme.

2.1.6. Technology Limitations: The User acknowledges and accepts the inherent technology limitations and risks associated with using beta software and experimental AI Models.

2.2. Enhanced Accuracy Disclaimers for Pilot AI Models

2.2.1. AI Models Under Training: The AI Models used to generate Forecasts and Insights are currently under active training, refinement, and testing. Their predictive accuracy and reliability may be lower during the Pilot Programme than intended for the commercial version.

2.2.2. Variable Results: Forecasts, Insights, and recommendations may vary as the underlying algorithms are iteratively improved. The Company does not warrant that the Forecasts will be consistent, accurate, complete, or reliable.

2.2.3. No Warranty of Fitness: The Platform, Forecasts, and Insights are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or title.

3. NON-ADVISORY AND REGULATORY DISCLAIMERS

3.1. Non-Regulated Service Provider

3.1.1. Purely Informational and Analytical Tool: The Platform is solely a software tool for data analysis and cash flow forecasting based on User Data. It is purely informational and analytical in nature.

3.1.2. No Financial or Investment Advice: The Company is NOT a SEBI-registered investment adviser, financial adviser, portfolio manager, bank, NBFC, or any other regulated financial intermediary.

3.1.3. No Fiduciary Relationship: The Company does not act in a fiduciary capacity toward the User.

3.1.4. Forecasts are Estimates Only: All Forecasts and Insights are based on historical User Data and statistical probabilities, and are solely for informational estimation purposes. They do not constitute investment advice, financial planning, legal advice, tax advice, or a recommendation to execute any transaction.

3.1.5. User Responsibility for Decisions: The User retains complete and sole discretion and responsibility for all financial, investment, and business decisions. The User must independently verify all outputs of the Platform and should NOT take any action based solely on the Forecasts or Insights, especially during the Pilot Programme.

3.1.6. No Fund Control: The Platform does not, and will never, access, move, execute, or control the User's funds, bank accounts, or financial systems. It operates entirely separately from the User's financial accounts.

3.2. Data Input Limitations and User Responsibility

3.2.1. Reliance on User Data: The accuracy, reliability, and utility of the Forecasts and Insights depend entirely on the quality, completeness, and accuracy of the User Data manually uploaded by the User.

3.2.2. Garbage In, Garbage Out: The Company explicitly disclaims any responsibility for errors or inaccuracies in Forecasts resulting from inaccurate, incomplete, misleading, fraudulent, or outdated User Data. The principle of "Garbage In, Garbage Out" applies.

3.2.3. No Verification of Documents: The Company has no responsibility or obligation to verify the authenticity, legality, completeness, or accuracy of the bank statements or other documents uploaded by the User.

3.2.4. User Data Integrity: The User is solely responsible for ensuring that all User Data is accurate, complete, and lawfully uploaded, and that no documents are fraudulent, tampered, or uploaded without proper authorization from their respective organization.

3.2.5. Tax Implications: The User is solely responsible for determining and complying with all applicable tax requirements, duties, and obligations arising from the use of the Platform or any business decisions made, and the Platform provides no tax advice.

3.3. Technical Limitations

3.3.1. No Real-Time Data: The Platform relies on periodic, manual file uploads by the User. Forecasts and Insights are not based on real-time data and may be outdated immediately after upload, depending on the frequency of the User's manual uploads.

3.3.2. Manual Upload Only: The Company explicitly confirms that, during the Pilot Programme, there is NO automatic bank account integration, API connectivity, or integration with the Account Aggregator (AA) framework or any third-party financial data aggregator.

4. LIMITATION OF LIABILITY AND INDEMNIFICATION

4.1. Enhanced Limitation of Liability for Pilot Programme

4.1.1. Waiver of Liability: To the maximum extent permitted by Indian law, the Company shall have NO LIABILITY whatsoever for any loss or damage arising from or relating to the User's participation in the Pilot Programme, the use or inability to use the Platform, or the reliance on any Forecasts or Insights, especially given the beta nature of the service.

4.1.2. [MANAGEMENT DECISION: Extent of liability waiver during pilot]

4.1.3. Maximum Liability Cap: In the event any liability is found, the Company’s total aggregate liability for all claims arising out of or related to this Disclaimer and the Pilot Programme shall be strictly limited to the greater of: (a) the total subscription fees paid by the User to the Company during the three (3) months immediately preceding the event giving rise to the claim (if any), or (b) [₹1000] INR.

4.1.4. Exclusion of Damages: In no event shall the Company be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including, but not limited to, damages for loss of profits, revenue, data, opportunity costs, business interruption, or lost anticipated savings, even if the Company has been advised of the possibility of such damages.

4.2. Pilot-Specific Waivers and Risks

4.2.1. The User expressly waives any claim for damages or compensation related to: (a) The lower-than-expected accuracy of AI Model Forecasts during the Pilot Programme; (b) The addition, removal, or modification of any Platform features; (c) Service interruptions, downtime, or technical malfunctions; (d) The termination, discontinuation, or failure to transition the Pilot Programme to a commercial version; (e) Any issues related to data migration upon termination.

4.3. User Indemnification

4.3.1. The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) The User’s breach of any term of this Disclaimer, the Terms of Use, or the Service Agreement; (b) The User’s upload of inaccurate, incomplete, or fraudulent User Data, or data uploaded without the necessary legal authority; (c) The User’s misuse of the Platform or reliance on Forecasts leading to a business loss; (d) The User’s disclosure of Confidential Information about the Pilot Programme without the Company's prior written consent; (e) The User’s violation of any applicable Indian law, including the Digital Personal Data Protection Act, 2023.

5. DATA PROTECTION AND PRIVACY

5.1. Data Localization (DPDP Act Compliance)

5.1.1. All User Data collected, processed, and stored by the Company shall reside on servers located exclusively within the territorial boundaries of India, in compliance with data localization requirements. The Company shall not cause any User Data to be transferred across the borders of India without the explicit, informed, and prior consent of the User.

5.2. DPDP Act Disclosures

5.2.1. The Company acts as a Data Fiduciary as defined under the Digital Personal Data Protection Act, 2023. The processing of User Data during the Pilot Programme is based on the User's explicit consent, provided in the Service Agreement, for the specific purpose of cash flow forecasting and, specifically during the Pilot, for the purpose of AI Model training, product improvement, and user research.

5.2.2. User rights under the DPDP Act, including the right to access, correction, erasure, and grievance redressal, are detailed in the accompanying Terms of Use and Service Agreement.

6. GENERAL PROVISIONS

6.1. Governing Law and Jurisdiction

6.1.1. This Disclaimer shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

6.1.2. The courts of [Bengaluru] shall have exclusive jurisdiction to adjudicate any disputes arising under or in connection with this Disclaimer.

6.2. Severability

6.2.1. If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

6.3. Force Majeure

6.3.1. The Company shall not be liable for any failure or delay in the performance of its obligations due to events beyond its reasonable control, including, without limitation, acts of God, war, terrorism, power failures, governmental actions, regulatory changes, or development delays specifically related to the beta nature of the Platform.
